These Terms of Service ("Terms") govern access to and use of the Shield Spire Ops platform, website, applications, and related services (collectively, the "Platform").

By accessing or using Shield Spire Ops, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1.Platform Overview

Shield Spire Ops is an enterprise-grade, multi-tenant workforce and operations platform designed for:

  • security companies
  • corporate security teams
  • operations-driven organizations
  • contractors and field service teams
  • compliance-driven environments

The Platform provides tools for:

  • workforce management
  • scheduling and attendance
  • incident reporting and DARs
  • dispatch and communication
  • compliance tracking and document control
  • training and certification tracking
  • client portal visibility
  • applicant and hiring workflows
  • payroll preparation and export
  • AI-assisted operational features (Shield AI)
  • asset tracking and operational workflows
  • API integrations and automation
  • billing and contract workflows

Availability of individual features depends on the applicable subscription plan, tenant configuration, and feature activation status. Some capabilities are offered in preview or remain under development and may be modified, limited, or withdrawn.

The Platform is not a security provider, employer, contractor, payroll provider, tax advisor, legal advisor, or emergency service. It is a technology system used by organizations to manage their own operations.

2.Definitions

For clarity within these Terms:

  • "Platform" refers to Shield Spire Ops and all associated services
  • "Tenant" refers to a company or organization using the Platform
  • "User" refers to any individual accessing the Platform (admin, employee, client, applicant, etc.)
  • "Tenant Admin" refers to authorized personnel managing a Tenant account
  • "Employee" refers to workforce users assigned roles within a Tenant
  • "Client" refers to external users granted visibility into services
  • "Platform Owner" refers to Shield Spire Ops administrative authority
  • "Services" refers to all functionality provided through the Platform

3.Eligibility and Account Responsibility

To use the Platform:

  • You must be authorized by a Tenant or Platform Owner
  • You must provide accurate and complete information
  • You must maintain the security of your credentials

Users are responsible for:

  • all actions taken under their account
  • maintaining password confidentiality
  • enabling required security measures (including MFA where enforced)

Tenant Admins are responsible for:

  • managing user access
  • assigning roles and permissions
  • ensuring appropriate use of the Platform within their organization

4.Multi-Tenant Structure and Data Control

Shield Spire Ops operates as a multi-tenant system.

  • Each Tenant operates in an isolated environment
  • Data is segmented by tenant boundaries
  • Role-based access controls govern visibility

Each Tenant is responsible for:

  • how it uses the Platform
  • the data it enters
  • compliance with applicable laws
  • its workforce and operational decisions

Shield Spire Ops does not assume responsibility for:

  • employment decisions
  • operational actions taken by tenants
  • client services performed by tenants

5.Acceptable Use

Users agree NOT to:

  • access data outside their authorized scope
  • attempt to bypass security or access controls
  • misuse operational tools (DARs, incident reports, dispatch, etc.)
  • upload false, misleading, or fraudulent information
  • interfere with system performance or availability
  • use the Platform for unlawful or harmful purposes
  • attempt to reverse engineer or exploit the Platform
  • misuse API access or exceed permitted usage

Tenants are responsible for enforcing acceptable use within their organization.

6.Platform Features and Operational Responsibility

Shield Spire Ops provides operational tools including but not limited to:

  • scheduling and attendance systems
  • GPS and geofencing verification
  • incident reporting systems
  • patrol and checkpoint tracking
  • communication and dispatch tools
  • compliance and training modules
  • audit logs and reporting

These tools are support systems only.

Shield Spire Ops does NOT guarantee:

  • real-world outcomes
  • incident prevention
  • employee performance
  • regulatory compliance (without tenant action)

All operational decisions remain the responsibility of the Tenant.

7.Data Accuracy and Platform Reliance

The Platform depends on user-submitted and tenant-managed data.

Shield Spire Ops is not responsible for:

  • inaccurate data entered by users
  • incomplete records
  • misuse of reporting tools
  • failure to act on alerts or notifications

Tenants must:

  • verify data accuracy
  • maintain operational oversight
  • ensure proper use of the system

8.Billing, Subscriptions, and Payments

Shield Spire Ops may offer:

  • subscription-based plans
  • feature-based access tiers
  • usage-based billing (including API usage)
  • add-ons and upgrades

Billing terms:

  • subscriptions may renew automatically unless canceled
  • failure to pay may result in restricted access or suspension
  • plan limitations may affect available features

Where Stripe or Stripe Connect is used:

  • payments may be processed through third-party providers
  • tenant-level billing and client billing may be separated

All financial obligations are governed by the selected plan and applicable agreements.

9.API and Integration Usage

If API access is enabled:

  • API keys must be kept secure
  • usage must comply with assigned scopes and limits
  • rate limits and monitoring may apply
  • misuse may result in suspension or revocation

Tenants are responsible for:

  • integrations they configure
  • data shared through APIs
  • external system security

10.Intellectual Property

All Platform components, including:

  • software
  • UI/UX design
  • workflows
  • architecture
  • branding

are the property of Shield Spire Ops or its licensors.

Users and Tenants may not:

  • copy or reproduce the Platform
  • reverse engineer system logic
  • resell or sublicense without authorization
  • use branding without permission

Tenant data remains owned by the Tenant, subject to platform usage.

11.Security and System Integrity

Shield Spire Ops implements:

  • role-based access control
  • audit logging
  • authentication systems
  • platform monitoring

However:

  • no system is completely immune to risk
  • users must follow security best practices
  • tenants must manage internal access responsibly

12.Suspension and Termination

We may suspend or terminate access if:

  • Terms are violated
  • misuse or abuse is detected
  • payment obligations are not met
  • security risks are identified

Tenants may:

  • manage or revoke access for their users
  • deactivate accounts internally

Termination may result in:

  • loss of access
  • restricted data availability
  • account deactivation

13.Limitation of Liability

To the maximum extent permitted by law:

Shield Spire Ops shall not be liable for:

  • indirect or consequential damages
  • loss of business, revenue, or data
  • operational failures caused by user actions
  • decisions made based on platform data
  • field incidents or workforce behavior

The Platform is provided as a tool, not a guarantee of outcomes.

14.Indemnification

Users and Tenants agree to indemnify and hold harmless Shield Spire Ops from:

  • claims arising from misuse of the Platform
  • violations of law or regulation
  • operational decisions made using the Platform
  • disputes between tenants and their clients or employees

15.Modifications to the Platform

We may:

  • update features
  • modify workflows
  • improve security
  • change system architecture

We may also update these Terms.

Continued use of the Platform after updates constitutes acceptance where permitted.

16.Governing Law

These Terms shall be governed by applicable laws based on the operating jurisdiction of Shield Spire Ops, unless otherwise required by law.

17.AI-Assisted Features

The Platform may make AI-assisted features available, marketed as Shield AI. These features may support incident report drafting, scheduling suggestions, compliance review assistance, conversational assistance, form intelligence, and related operational tasks.

You acknowledge and agree that:

  • AI output is advisory only and may be inaccurate, incomplete, or unsuitable for a given situation
  • AI features operate on a Human-in-the-Loop basis and require human review before operational reliance
  • AI does not make employment, disciplinary, compensation, dispatch, or emergency decisions
  • AI output does not constitute legal, employment, financial, medical, or compliance advice
  • AI capabilities may be enabled, disabled, limited, rate-limited, or subject to usage or spending caps at the platform or tenant level
  • AI features may rely on third-party model providers

The Customer remains solely responsible for reviewing, approving, and acting on any AI output, and for the accuracy of records that incorporate AI-assisted content. Additional detail is provided in the Shield AI Usage and Transparency Policy.

18.Payroll Preparation

The Platform provides payroll preparation functionality. This includes timesheet consolidation, hours calculation, overtime and differential handling, gross-pay preparation, and export of payroll-ready data to external systems.

The Platform does not:

  • act as a payroll provider, employer of record, or professional employer organization
  • calculate, withhold, file, or remit taxes
  • disburse wages or move funds to workers
  • provide tax, accounting, employment, or wage-and-hour legal advice
  • guarantee compliance with any federal, state, provincial, or local labor or wage law

The Customer is solely responsible for verifying all payroll data before use, for final payroll processing through its own provider, and for compliance with all applicable wage, hour, tax, and employment laws. Additional detail is provided in the Payroll Preparation Disclaimer.

19.Mobile Applications and Connectivity

Mobile access is currently delivered through native iOS capabilities, with Android development underway. Android availability is not guaranteed and no release date is committed.

Platform functionality generally requires an active internet or mobile data connection. Offline field capabilities remain under development and are not generally available. Where offline behavior is exposed, it is limited in scope, is not warranted, and does not guarantee data capture, retention, or synchronization. Emergency dispatch actions are intentionally blocked without connectivity for safety reasons, and the Platform must not be relied upon as an emergency communication or life-safety system.

The Customer is responsible for device suitability, carrier service, connectivity, location services permissions, and device security. The Platform may restrict access from devices identified as rooted, jailbroken, or otherwise compromised.

20.Beta, Preview, and Feature-Flagged Functionality

Certain capabilities may be made available on a preview, beta, limited-activation, or feature-flagged basis. Such capabilities are provided as-is, without warranty and without service-level commitment, and may be changed or withdrawn at any time.

21.Language

The Platform interface is currently available in English and Spanish. These Terms are issued in English. Where a translation is provided, the English version controls to the extent permitted by applicable law.
